2. Purpose of the Legal Notice and User Acceptance

This Legal Notice regulates the conditions of access, navigation and use of the Clovr Labs Website, as well as the responsibilities arising from the use of its contents, forms, technical elements or services available through it. Access, navigation or use of the Website confers the status of user (hereinafter, the 'User') and implies full, conscious and unreserved acceptance of the content of this Legal Notice, as well as the Privacy Policy, Cookie Policy and Terms and Conditions of Use. The User undertakes to make diligent, correct and lawful use of the Website, in full compliance with current regulations, good faith and public order. Clovr Labs reserves the right to modify at any time the content of this Legal Notice, as well as the configuration or functionalities of the Website. Continued use of the Website after publication of any modifications will imply acceptance thereof by the User.

3. Conditions of Access and Use of the Website

Access to the Website is free and open, without prejudice to the fact that access to certain content or services may be conditional on prior completion of forms, acceptance of specific conditions or identity verification in subsequent phases of the project. The User undertakes to use the Website, its contents and functionalities in accordance with the law, this Legal Notice, the Terms and Conditions of Use, good faith, public order and generally accepted practices. The following is expressly prohibited:

• Using the Website for unlawful purposes or contrary to current regulations.
• Introducing malicious software, automated scripts or scraping techniques.
• Accessing without authorization restricted sections or computer systems of the owner.

Clovr Labs may suspend temporarily or permanently access to the Website for technical or security reasons or due to improper use by the User. The User acknowledges and accepts that use of the Website is at their sole and exclusive responsibility, and that Clovr Labs does not guarantee permanent availability or total absence of errors in its operation, although reasonable measures will be adopted to correct or remedy detected incidents.

4. Intellectual and Industrial Property

All contents of the Website, including graphic design, source code, functional architecture, texts, images, logos, databases and trademarks, are the exclusive property of Clovr Labs, S.L. or third-party licensors, and are protected by applicable national and international intellectual and industrial property legislation. Such contents are protected by current national and international intellectual and industrial property regulations, including the Consolidated Text of the Intellectual Property Law (Royal Legislative Decree 1/1996) and Law 17/2001, of December 7, on Trademarks, as well as international treaties signed by Spain. The reproduction, distribution, public communication, transformation, making available, extraction, reuse, forwarding or use, in whole or in part, of the Website Contents in any form or by any means is strictly prohibited, except with prior, express written authorization from Clovr Labs, S.L. The User undertakes to respect at all times the intellectual and industrial property rights of Clovr Labs, and acknowledges that access to the Website does not confer any property rights over them, nor does it authorize their use beyond what is strictly necessary for legitimate navigation in accordance with these conditions. Any unauthorized use of the Contents may result in the exercise of civil, criminal or administrative actions as appropriate under law.

5. Responsibility for Content

Clovr Labs makes available to the User information relating to its technological project and future services, in an informative and pre-operational environment. Although reasonable measures are taken to keep content updated, complete and technically correct, Clovr Labs, S.L. does not guarantee the accuracy, completeness, reliability or validity of the information available on the Website. The content published on the Website is purely informative or demonstrative in nature, especially while the project is in the authorization process phase in accordance with Regulation (EU) 2023/1114 on crypto-asset markets (MiCA). Under no circumstances should they be interpreted as a binding offer, financial, legal or tax advice, nor as an invitation to contract. Clovr Labs, S.L. is not responsible for decisions that the User may make based on information available on the Website, nor for damages or losses that may arise from use of the same or interpretation of its contents out of context or without proper professional advice. Likewise, Clovr Labs does not guarantee uninterrupted availability of the Website or the absence of technical errors, interruptions, data loss or damage caused by the existence of viruses or other malicious computer elements introduced by third parties. The User accesses and uses the Website at their own responsibility and assumes the obligation to adopt appropriate measures to protect their systems and devices against computer threats.

The Website may contain links or hyperlinks that allow the User to access websites, platforms or content owned by third parties, for the sole purpose of facilitating access to complementary information or related services (hereinafter, the 'Linked Sites'). Clovr Labs does not exercise any control over the content, policies, updates or conditions of use of said Linked Sites, and is not responsible in any case for the use that the User makes of them or for damages or losses that may arise from their access or navigation. The inclusion of these links does not imply any type of association, merger, collaboration, endorsement or legal relationship between Clovr Labs and the owners of the linked sites. The User accesses the Linked Sites at their exclusive responsibility, and must exercise extreme caution regarding the processing of their personal data, software installation or acceptance of contractual conditions of third parties. Clovr Labs guarantees compliance with applicable personal data protection regulations, and in particular with Regulation (EU) 2016/679, General Data Protection Regulation (GDPR), as well as with Organic Law 3/2018, of December 5, on Protection of Personal Data and guarantee of digital rights (LOPDGDD). The processing of personal data collected through the Website, whether through contact forms, subscription, analytical tools or any other means, is carried out in accordance with the principles of lawfulness, fairness, transparency, minimization, accuracy, integrity and confidentiality established by current regulations. Clovr Labs adopts appropriate technical and organizational measures to guarantee the security of the Website and the information processed through it, in order to prevent unauthorized access, alterations, losses, destruction or unauthorized disclosure of data and content. Among other measures, Clovr Labs applies encryption protocols, access controls, activity monitoring, DDoS attack protection systems, firewalls and intrusion detection tools, as well as periodic reviews of its systems and digital infrastructures. However, the User acknowledges that no system is completely invulnerable, and that browsing the Internet implies the existence of residual risks. Consequently, the User accesses the Website at their own responsibility and undertakes to adopt reasonable measures to protect their own systems, devices and data against possible digital threats. Likewise, the User expressly undertakes not to perform any type of action that may compromise the security, integrity or availability of the Website, including, among others:

• Introduction of viruses, malware or any other malicious software;
• Unauthorized access to restricted areas of the Website or its associated systems;

9. Applicable Regulations on Crypto-Asset Services (MiCA)

Clovr Labs, S.L. is currently in the process of obtaining authorization as a crypto-asset service provider, in accordance with Regulation (EU) 2023/1114 on crypto-asset markets (MiCA). Until such authorization is formally granted by the competent authority (CNMV or Bank of Spain, as appropriate), Clovr Labs does not provide services regulated under MiCA, nor does it execute orders, nor custody assets, nor offer advice, nor carry out active customer acquisition. All information published on the Website is strictly informative in nature and refers to services that could eventually be offered once the corresponding authorization is obtained. Clovr Labs commits to rigorously apply the provisions of the MiCA Regulation at the time it begins its regulated activity. Clovr Labs therefore commits to fully comply with the legal obligations arising from the MiCA Regulation at the time it begins its effective activity, including: • Protection of retail users, • Information transparency in crypto-asset offers, • Custody, governance and risk management policies, • Prevention of conflicts of interest, and • Submission to the supervision and accountability regime provided for by European regulations. The User must bear in mind that, until regulatory authorization is formalized, it cannot be interpreted that access to the Website implies the provision of a regulated financial, banking or crypto-asset service.

10. Modifications to the Legal Notice

Clovr Labs, S.L. reserves the right to modify, update or revise at any time and without prior notice the content of this Legal Notice, in order to adapt it to legislative, jurisprudential, technical changes or to the evolution of functionalities offered through the Website. The User will be subject to the Legal Notice in force at the time they access the Website. It is therefore recommended to periodically review this legal text, as well as the Terms and Conditions of Use, Privacy Policy and Cookie Policy, in order to be aware at all times of the rights and obligations that apply to them. In those cases where modifications involve substantial changes or require express consent from the User in accordance with applicable regulations, notice will be given prominently through the Website itself or by equivalent means. Continued use of the Website after publication of modifications will imply full and unreserved acceptance of the new content of the Legal Notice by the User.

11. Applicable Law and Jurisdiction

This Legal Notice will be governed and interpreted in accordance with Spanish legislation in force at each moment, and, in matters not expressly provided for, by the provisions of applicable European Union regulations, including in particular Regulation (EU) 2023/1114 on crypto-asset markets (MiCA), once fully applicable. For the resolution of any conflict or controversy that may arise from access, use or navigation of the Website, as well as from the interpretation or application of the conditions set forth herein, the parties agree to submit, with express waiver of any other jurisdiction that may correspond to them, to the courts and tribunals of the city of Barcelona (Spain), except in those cases where consumer protection regulations expressly establish another mandatory jurisdiction. The User declares to know and accept this jurisdiction as reasonable and appropriate in relation to the registered office of the Website owner and the legislation governing this Legal Notice.
